By accessing our Website, submitting an enquiry, or engaging our services, you ("Client," "you," "your") agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or services.

Services & Commercial Infrastructure
1. About Us
MarketGrowthX is a digital marketing agency based in Hubli & Bangalore, Karnataka, offering services including SEO, SEM, PPC/Google Ads, Social Media Marketing (SMM), Social Media Optimization (SMO), Website Development, Content Creation, Videography, and Influencer Marketing.
2. Our Services
We provide digital marketing and website development services as described on our Website and as agreed with each client individually. The exact scope, deliverables, timeline, and cost of any service will be confirmed with the client before work begins, either via WhatsApp, email, invoice, or a written agreement.
3. Project Engagement & Agreement
Before starting any project, we discuss the scope of work, deliverables, pricing, and timelines with the client. Once agreed, we issue a formal agreement and/or invoice outlining the services, cost, and payment terms for that specific project. Work begins only after mutual agreement between MarketGrowthX and the client, and after receipt of the applicable advance payment.
Any changes to the agreed scope of work (additions, revisions beyond what was agreed, or new requirements) may be treated as a separate task and billed additionally, as communicated to the client in advance.
4. Payment Terms
Advertising & Ad Spend Budgets
For services involving paid advertising (Google Ads, Meta/Facebook Ads, etc.), the advertising budget is separate from our service fee and is charged based on the actual ad spend required for the client's campaign, as discussed and approved by the client beforehand. Ad spend amounts will vary depending on the client's goals, industry, and campaign requirements.
Performance/Conversion Projects
For select projects where pricing is linked to project scope, performance, or conversions, the payment structure will be specifically discussed and confirmed with the client in writing before the project begins, and will be reflected in the agreement/invoice for that project.
All payments must be made through the payment method(s) shared by MarketGrowthX. Official invoices/receipts will be provided for all payments received. Work on ongoing tasks may be paused if the balance payment is delayed beyond the agreed timeline, until payment is received.
5. Refund Policy
Before Work Begins
If a client cancels a project before any work has started (i.e., before the advance payment is utilized and work is assigned to our team), a refund of the advance amount may be issued, as mutually discussed and agreed with the client.
After Work Has Started
No refund will be provided once work on the project has begun, as time, effort, and resources have already been committed by our team. This includes but is not limited to strategy planning, content creation, ad campaign setup, design work, or development work already carried out.
Ad Spend Notice: Amounts paid toward third-party advertising platforms (Google Ads, Meta Ads, etc.) are non-refundable through MarketGrowthX, as these amounts are spent directly on the respective ad platforms on the client's behalf. All refund-related matters, where applicable, will be discussed transparently with the client, and confirmed refund terms will be documented in the project agreement/invoice. Refunds, where approved, will be processed within a reasonable timeframe to the original payment method, unless otherwise agreed.

6. Client Responsibilities
To help us deliver quality work on time, the client agrees to:
- Provide accurate, complete, and timely information, content, access credentials, and approvals required for the project.
- Respond to communications (WhatsApp/email/calls) within a reasonable time to avoid project delays.
- Ensure that any content, images, logos, or materials provided to us for use in campaigns/website do not infringe on any third party's rights.
- Make payments as per the agreed schedule.
Delays caused by the client in providing information, approvals, or payments may result in corresponding delays to the project timeline, for which MarketGrowthX will not be held responsible.
7. Intellectual Property
Any original creative work, website code, designs, or content created by MarketGrowthX for a client becomes the property of the client only after full and final payment has been received. Until full payment is made, all work-in-progress, drafts, and deliverables remain the intellectual property of MarketGrowthX.
MarketGrowthX reserves the right to showcase completed projects, designs, or campaign results (excluding confidential business data) in its portfolio, website, or social media, for promotional purposes, unless the client requests otherwise in writing.
*Third-party tools, stock assets, plugins, or licensed software used in a project remain subject to their respective owners' terms and licenses.
8. Limitation of Liability
MarketGrowthX will make reasonable efforts to deliver quality services; however, we are not liable for indirect, incidental, or consequential losses, including loss of revenue, business, or data, arising from the use of our services.
We are not responsible for outcomes affected by factors beyond our control, including but not limited to changes in Google/Meta algorithms or ad policies, platform outages, client-side technical issues, third-party service failures, or market conditions.
Our total liability for any claim related to our services shall not exceed the amount paid by the client for that specific service.
9. Third-Party Platforms
Our services may involve the use of third-party platforms such as Google Ads, Google Analytics, Meta/Facebook Ads Manager, Instagram, WhatsApp Business, hosting providers, and other tools. Use of these platforms is subject to their respective terms of service and privacy policies, which are outside our direct control.
10. Confidentiality
We respect the confidentiality of client information, business data, and strategies shared with us during the course of a project, and we will not disclose such information to third parties without consent, except as required by law.
11. Termination
Either party may choose to end an ongoing engagement by providing reasonable written notice (via email or WhatsApp). In such cases, the client is responsible for payment of all work completed up to the date of termination, the refund policy outlined in Section 5 will apply, and MarketGrowthX will hand over completed deliverables for which payment has been received in full.

12. Website Use Terms
By using our Website, you agree not to:
- Use the Website for any unlawful purpose.
- Attempt to gain unauthorized access to our systems, accounts, or data.
- Copy, reproduce, or misuse content, images, or material from our Website without permission.

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. 14. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the jurisdiction of the courts of Hubli/Bangalore, Karnataka.
